Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and GarGeon Sdn Bhd ("GarGeon", "we", "us", or "our") governing your use of our waste management services and digital platform.

By accessing our website, using our services, or creating an account on our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Service Description

GarGeon provides the following services to Malaysian enterprises and businesses:

1.1 Waste Collection Services

  • Scheduled waste collection and pickup services

  • Photo-verified documentation of each collection

  • Proper waste transportation to licensed disposal facilities

1.2 Waste Bin Rental

  • Rental of various waste container types (roro bins, skip bins, front-load bins)

  • Delivery, placement, and retrieval of rental equipment

  • Maintenance and replacement of damaged equipment

1.3 Recycling Services

  • Collection and processing of recyclable materials

  • Waste diversion tracking and reporting

  • Sustainability metrics and ESG reporting support

1.4 Digital Platform

  • Online dashboard for waste operations management

  • Real-time tracking and documentation access

  • Reporting and analytics tools

  • Invoice and payment management

2. User Obligations

By using our services, you agree to the following obligations:

2.1 Accurate Information

You must provide accurate, current, and complete information when registering for our services and maintain the accuracy of such information. This includes your company registration details, contact information, and billing information.

2.2 Waste Segregation and Compliance

You are responsible for properly segregating waste according to applicable Malaysian regulations and our service guidelines. Scheduled waste, hazardous materials, and prohibited items must not be placed in general waste containers without prior arrangement and proper documentation.

2.3 Access and Safety

You must provide safe and adequate access to your premises for our collection teams and equipment. This includes ensuring clear pathways, proper lighting, and authorized personnel availability during scheduled service times.

2.4 Equipment Care

Rented waste containers and equipment must be used only for their intended purpose and maintained in good condition. You are responsible for any damage caused by misuse, overloading, or negligence.

3. Payment Terms

3.1 Pricing and Billing

Service pricing will be as quoted in your service agreement or as displayed on our platform. Invoices are issued monthly or as specified in your agreement. All prices are quoted in Malaysian Ringgit (MYR) and are subject to applicable taxes.

3.2 Payment Methods

We accept payment via bank transfer, credit card, and other payment methods as available on our platform. Payment details will be provided on invoices.

3.3 Payment Due Date

Unless otherwise specified in your service agreement, payment is due within 30 days from the invoice date. For new customers, advance payment may be required for initial services.

3.4 Late Payment

Overdue payments may incur a late payment fee of 1.5% per month on the outstanding balance. GarGeon reserves the right to suspend services for accounts with payments overdue by more than 60 days.

4. Intellectual Property

All content, features, and functionality of the GarGeon platform, including but not limited to text, graphics, logos, icons, images, software, and underlying technology, are the exclusive property of GarGeon and are protected by Malaysian and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the platform for your internal business purposes in connection with the services. You may not copy, modify, distribute, sell, or lease any part of our platform or services without our prior written consent.

5. Limitation of Liability

5.1 Service Limitations

While we strive to provide reliable and consistent services, GarGeon does not guarantee uninterrupted service availability. Services may be affected by factors beyond our control, including weather conditions, traffic, equipment failures, and force majeure events.

5.2 Liability Cap

To the maximum extent permitted by law, GarGeon's total liability for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to GarGeon in the twelve (12) months preceding the claim.

5.3 Exclusion of Damages

GarGeon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, even if we have been advised of the possibility of such damages.

6. Indemnification

You agree to indemnify, defend, and hold harmless GarGeon, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable laws or regulations; or (d) any claims by third parties related to waste materials you provided for collection.

7. Termination

7.1 Termination by Customer

You may terminate your service agreement by providing written notice as specified in your service contract or, for month-to-month services, with 30 days written notice. Termination does not relieve you of the obligation to pay for services already rendered.

7.2 Termination by GarGeon

GarGeon may suspend or terminate your access to services immediately if: (a) you breach any material term of these Terms; (b) you fail to pay amounts due after reasonable notice; (c) you engage in fraudulent or illegal activities; or (d) continuing service would expose GarGeon to legal liability.

7.3 Effect of Termination

Upon termination, you must return all rented equipment within 14 days and settle all outstanding payments. Your access to the digital platform will be revoked. Data retention and export options will be provided as per our data retention policies.

8. Dispute Resolution

8.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.

8.2 Informal Resolution

Before initiating any formal dispute resolution proceedings, both parties agree to attempt to resolve any dispute informally by contacting each other in writing and engaging in good faith negotiations for a period of at least 30 days.

8.3 Jurisdiction

Any disputes arising from or related to these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Johor Bahru, Johor, Malaysia.

9. General Provisions

9.1 Entire Agreement

These Terms, together with any service agreements and policies referenced herein, constitute the entire agreement between you and GarGeon regarding the services and supersede all prior agreements and understandings.

9.2 Modifications

GarGeon reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the modified Terms.

9.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

9.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. GarGeon may assign these Terms without restriction.
